SaaS Subscription Agreement

This SaaS Subscription Agreement ("Agreement") forms part of the Nexis Growth Terms & Conditions and governs your subscription to our AI Receptionist and business automation platform. By subscribing to any Nexis Growth plan, you agree to this Agreement.

1. Subscription Plans

Nexis Growth offers the following subscription plans. Plan names, features, and pricing may change from time to time. The current pricing is always available on our pricing page at nexisgrowth.com/pricing.

• Essential — for sole traders and micro businesses
• Starter — for small businesses wanting an AI receptionist
• Growth — for businesses ready to automate marketing and scale
• Elite — for businesses wanting a complete platform
• Enterprise — custom pricing for large organisations and multi-location businesses

For current pricing, please refer to our pricing page. This Agreement does not embed specific prices so that the pricing page can be updated without requiring this document to be rewritten.

2. Monthly Subscriptions

Monthly subscriptions are billed in advance on a recurring monthly basis. Your subscription will automatically renew each month unless you cancel it in accordance with our Refund & Cancellation Policy.

3. Annual Subscriptions

Annual subscriptions are billed once per year in advance and include a discount compared to monthly billing. Annual subscriptions automatically renew at the end of each annual term unless cancelled.

4. Subscription Renewal

All subscriptions renew automatically at the end of the billing period (monthly or annually) using the payment method on file. You will be notified before each renewal. You may cancel at any time to prevent future renewals.

5. Payment Authorisation

By subscribing, you authorise Nexis Growth to charge your designated payment method for all subscription fees. Payments are processed through our third-party payment provider (Stripe). Nexis Growth does not store your full card details.

6. Failed Payments

If a payment fails, we will attempt to process it again. If payment remains unsuccessful after a reasonable period, your account may be suspended until payment is received. You will be notified before any suspension occurs.

7. Account Suspension

We may suspend your account if: payment fails, you breach these terms, or your usage is deemed abusive or harmful. We will provide notice where possible before suspending access.

8. Plan Upgrades

You may upgrade your plan at any time. Upgrades take effect immediately and you will be charged a pro-rated amount for the remainder of the current billing period.

9. Plan Downgrades

You may downgrade your plan at any time. Downgrades take effect at the start of your next billing cycle. You will retain access to your current plan features until the downgrade takes effect.

10. Usage Allowances

Each plan includes specific usage allowances for AI voice minutes, SMS messages, and other features. Current usage limits are published on our pricing page. Usage resets on your monthly billing date.

11. Additional Usage (PAYG Charges)

If you exceed your plan's included usage, additional charges may apply (pay-as-you-go). Current overage rates are published on our pricing page. We will notify you before you are charged for overage where possible.

12. Taxes

All prices are in Australian Dollars (AUD) and may be subject to GST or other applicable taxes. Taxes are added to your invoice where applicable.

13. Third-Party Usage Charges

Some services (such as SMS sending, AI call minutes, or third-party integrations) may incur additional charges beyond your subscription fee. These charges are billed at cost or as published on our pricing page. Nexis Growth does not guarantee unlimited usage on any plan unless explicitly stated.
