These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you") and Nexis Growth ("Nexis Growth", "we", "us", or "our"), concerning your access to and use of our website, services, and AI platform.

1. Website Use

You may use our website for lawful purposes only. You must not use the website in any way that could damage, disable, or impair the site or interfere with any other person's use of the site.

2. Account Registration

To access certain features, you must register an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the security of your account credentials.

3. Customer Responsibilities

You are responsible for all information, content, and instructions you provide to Nexis Growth and Sophia. You must ensure that all business information given to Sophia is accurate, up to date, and lawful. You remain responsible for reviewing AI-generated content before relying on it.

4. Subscription Plans

We offer various subscription plans with different features and pricing. Current plans and pricing are available on our pricing page. Subscription terms are detailed in our SaaS Subscription Agreement.

5. Monthly Billing

Monthly subscriptions are billed in advance on a recurring basis. Your subscription renews automatically each month unless cancelled.

6. Annual Billing

Annual subscriptions are billed once per year and include a discount. Annual subscriptions renew automatically at the end of each term unless cancelled.

7. Automatic Renewal

All subscriptions renew automatically using the payment method on file. You will be notified before each renewal. You may cancel at any time to prevent future renewals.

8. Payment Processing

Payments are processed through our third-party payment provider (Stripe). Nexis Growth does not store your full card details. All prices are in Australian Dollars (AUD) unless otherwise stated.

9. Account Suspension

We may suspend your account if: payment fails, you breach these terms, or your usage is deemed abusive. We will provide notice where possible before suspending access.

10. Account Termination

We may terminate your account for serious or repeated violations of these terms. You may cancel your subscription at any time in accordance with our Refund & Cancellation Policy.

11. Acceptable Use

You must not use our services for any illegal, harmful, fraudulent, or abusive purpose. See our AI Services & Acceptable Use Policy for specific prohibitions relating to AI services.

12. Prohibited Activities

You must not:

• Use our services for illegal activity
• Send spam or unsolicited commercial messages
• Impersonate another person or business
• Attempt to gain unauthorised access to our systems
• Use our services to harass or harm others
• Reverse engineer or copy our technology

13. Intellectual Property

The Nexis Growth website, platform, branding, and underlying technology are our proprietary property. All source code, databases, designs, and content are owned or licensed by us. You may not copy, modify, or distribute our intellectual property without our written permission.

14. Customer Content

You retain ownership of the business information, content, and data you provide to us. You grant us a licence to use your content solely for the purpose of providing services to you. You must ensure you have the right to provide all content to us and that it does not infringe third-party rights.

15. AI-Generated Content

AI-generated content (such as call summaries, transcripts, and chat responses) is provided to you as part of your subscription. While you may use this content for your business, Nexis Growth retains ownership of the AI models and underlying technology. See our AI Disclaimer for limitations.

16. Third-Party Services

Our services may integrate with third-party platforms (such as Google, Facebook, and telecommunications providers). We are not responsible for the availability, performance, or policies of third-party services. You are responsible for maintaining appropriate accounts and licences for third-party services.

17. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for downtime caused by third-party providers.

18. Support

Support is available according to your plan. Response times and support channels vary by plan. See our pricing page for current support inclusions.

19. Limitation of Liability

To the maximum extent permitted by law, Nexis Growth and its directors, employees, and agents are not liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of our website or services. Our total liability is limited to the amount you have paid in the preceding 3 months.

20. Indemnity

You agree to indemnify and hold Nexis Growth harmless from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any law or third-party rights.

21. Dispute Resolution

If a dispute arises, we will first attempt to resolve it through good-faith negotiation. If the dispute cannot be resolved, it will be dealt with in accordance with the governing law clause below.

22. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. The courts of Australia have exclusive jurisdiction to resolve any dispute arising in connection with these terms.

23. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
